Terms & Conditions – Works or Projects

1. Introduction

These Terms and Conditions govern the relationship between xTR Imagine (referred to as “the Company”, “we”, “our”, or “us”) and the client (referred to as “you” or “Client”). By availing of our services, you agree to comply with these terms.


2. Services Provided

The Company provides the following services:

  1. Graphic Design Services: Includes logo design, brochures, flyers, social media posts, branding materials, and other visual assets.
  2. Video Editing and Creation: Includes promotional videos, explainer videos, YouTube content editing, and social media video creation.
  3. Web Development Services: Includes website design and development, e-commerce websites, landing pages, and portfolio websites.
  4. Custom Packages: Clients can select individual services or purchase service packages tailored to their needs.

3. Payment Terms

  1. Currency:
    • Payments must be made in the agreed-upon currency (INR, AED, USD, GBP) as outlined in the service agreement.
  2. Payment:
    • For projects below Rs. 20,000 / $300 / 1,000 AED, the client is required to pay 100% upfront.
    • For larger projects, a 50-60% advance payment is required to begin work. The remaining balance must be paid upon completion, prior to the final delivery of files or services.
    • Additional work outside the scope (revisions, new pages, or assets) will be billed at hourly or per-item rates agreed in writing.
  3. Invoices:
    • Invoices will be sent to the client via email or agreed-upon communication channels.
    • Payment must be completed within 5-7 business days from the date of the invoice.
  4. Domain & Hosting
    • Domain & Hosting setup (if included) is for a single website; renewals after the initial year are billed separately.
    • Both are taken under our accounts for ease of handling, setup, connections, etc, unless specified.
    • We can transfer the domain to the client’s account. After that, any domain renewal or changes after the handover are at the client’s expense.
    • And can only share access to our hosting, unless the client acquires a new hosting account to run the work/project. After that, any renewal or changes after the handover are at the client’s expense.
  5. Late Payment:
    • A late fee of 2% per week will be charged on overdue payments.
    • If payment is not received within 30 days after the invoice date, services may be suspended until full payment is received.
  6. Method of Payment:
    • We accept payments via bank transfer, PayPal, Payment Gateway, or other mutually agreed-upon methods.
    • Any additional fees (transaction fees, currency exchange fees, etc.) will be the responsibility of the client.

4. Timelines and Deadlines

  1. Project Start Date:
    • Work will commence only after the advance payment is received and all necessary project details have been provided by the client.
  2. Delivery Time:
    • Standard turnaround times for services will vary based on the project scope:
      • Graphic Design: 3-5 business days for initial designs (logos, brochures).
      • Video Editing: 5-10 business days for projects under 2 minutes.
      • Web Development: 10-20 business days for basic websites.
  3. Revisions:
    • Each service includes two (2) rounds of revisions. Additional revisions will incur extra charges, which will be communicated in advance.
    • Revisions may extend the final delivery date based on the complexity of changes.
  4. Rush Services:
    • Rush services are available at an additional charge. Rush timelines must be confirmed before project initiation.
  5. Delays:
    • The Company is not responsible for delays caused by the client (e.g., late provision of information, feedback, or content).
    • Any delays caused by the Company will be communicated promptly, and new delivery timelines will be established.

5. Support & Maintenance

  • Free post-launch support is included for a specified period (e.g. 30–90 days).
  • After this period or for extended maintenance, service is available via a separate AMC plan or based on the service required.

6. Intellectual Property

  1. Ownership:
    • Upon full payment, the intellectual property rights of the final deliverables (e.g., logos, videos, websites) will transfer to the client.
    • The Company retains the right to showcase the work in its portfolio and for marketing purposes unless otherwise agreed in writing.
  2. Use of Stock Resources:
    • Stock images, footage, or design assets used in the project may be subject to third-party licensing agreements. Clients agree to adhere to these terms.
  3. Copyright Protection:
    • Clients are responsible for ensuring that any content they provide (e.g., images, videos, logos, text) does not infringe upon the rights of third parties.

7. Revisions, Modifications, and Additional Work

  1. Scope of Work:
    • The scope of work will be clearly defined before the project begins. Any changes or additional work outside the initial agreement will be charged separately.
  2. Revision Limits:
    • Clients are entitled to up to two (2) revisions per project without additional charges. Further revisions will be charged at an hourly rate or agreed fee.
  3. Request for Additional Work:
    • Additional work requested outside the agreed-upon scope will be charged at the Company’s standard rates. An estimate will be provided before additional work begins.

8. Cancellations and Refunds

  1. Cancellation by Client:
    • If the client cancels the project after work has started, they will be liable to pay for the work completed up to the point of cancellation.
    • No refunds are available for completed projects or digital goods/services.
  2. Cancellation by Company:
    • The Company reserves the right to cancel a project due to non-cooperation, lack of communication, or breach of these Terms by the client. In such cases, any outstanding payments will remain due for work completed.
  3. Refunds:
    • Refunds are not provided for work already delivered.
    • In exceptional circumstances, a partial refund may be considered if work has not been initiated.

9. Confidentiality

The Company agrees to maintain the confidentiality of any sensitive information provided by the client and will not disclose such information to third parties without consent, except as required by law.


10. Limitation of Liability

  1. The Company will not be liable for any indirect, special, or consequential damages arising from or in connection with the use of our services, including but not limited to loss of data, profits, or business interruption.
  2. In no event will the Company’s total liability exceed the amount paid by the client for the specific project or service.

11. Warranties and Disclaimers

  1. Quality Assurance:
    • The Company guarantees the quality and standard of work agreed upon before starting the project.
  2. Client Responsibilities:
    • The client warrants that they have the rights to any material provided for the project and that such material does not violate any third-party rights.
  3. Project Use:
    • The Company is not responsible for the final use of deliverables by the client, nor for any legal implications of their usage.

12. Dispute Resolution

  1. Governing Law:
    • These Terms and Conditions are governed by the laws of India.
  2. Disputes:
    • Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably. If a resolution cannot be reached, the parties agree to submit to the exclusive jurisdiction of the courts in Kerala, India.

13. Termination

  1. The Company reserves the right to terminate a project or service agreement due to client misconduct, non-payment, or failure to meet their obligations.
  2. The client can terminate the agreement with prior written notice, but payments for work completed up to the termination date remain due.
